1. Acceptance of Terms

By accessing or using the website located at https://www.peacestop.lat (the Website), by engaging Zhijiang Zhengzhi Trading Co., Ltd., operating as PeaceStop (collectively PeaceStop, we, us, or our), for computer systems design and consulting services, or by otherwise interacting with our platforms and personnel, you (the User, Client, or you) agree to be bound by these Terms of Service (the Terms). These Terms constitute a legally binding agreement between you and PeaceStop governing your use of the Website and all services provided by PeaceStop.

If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, the terms User and Client shall refer to that entity. If you do not have such authority, or if you do not agree with any provision of these Terms, you must not access the Website, use our services, or engage in any interaction with PeaceStop on behalf of that entity.

We reserve the right to modify these Terms at any time in accordance with Section 15 (Changes to These Terms) below. Your continued use of the Website or services following the posting of revised Terms constitutes your acceptance of the changes. You are responsible for reviewing these Terms periodically to remain informed of any updates.

2. Description of Services

PeaceStop provides professional computer systems design and related consulting services within the Professional, Scientific, and Technical Services sector. Our core service offerings include, but are not limited to, the following categories of professional work:

Systems Architecture and Design: We analyze client requirements, design scalable and secure computer systems architectures, prepare technical specifications and integration blueprints, and advise on hardware and software selection. Each architecture engagement is tailored to the specific operational environment, compliance requirements, and growth trajectory of the client organization.

IT Infrastructure Consulting: Our consulting services cover network architecture planning, cloud migration strategy, data center design and optimization, disaster recovery planning, cybersecurity posture assessment, and IT governance framework development. We deliver actionable roadmaps and detailed recommendations grounded in industry best practices.

Managed Integration Services: For clients who require ongoing support, we provide managed services including system monitoring, performance optimization, security patching, backup management, and help desk support. These services are delivered under a separate Service Level Agreement that defines specific metrics, response times, and escalation procedures.

The precise scope, deliverables, timeline, and fees for any particular engagement will be defined in a written Statement of Work, Service Agreement, or Proposal mutually agreed upon and signed by both parties. In the event of any conflict between these Terms and a signed Service Agreement, the Service Agreement shall prevail with respect to that specific engagement.

3. Use of the Website

The PeaceStop Website is provided for informational purposes and as a platform through which you may learn about our services and contact us. By using the Website, you agree to comply with the following conditions and restrictions regarding your conduct and activities.

Permitted Uses: You may browse the Website content, submit contact forms with legitimate inquiries about our services, access and download publicly available materials that we expressly make available for download, and share links to publicly accessible pages of the Website through appropriate channels. All such use must be for lawful business purposes consistent with the professional nature of our services.

PeaceStop reserves the right to suspend or terminate your account at any time if we have reasonable grounds to believe that you have violated these Terms, provided false or misleading information, or engaged in conduct that poses a security risk to our systems or other users. You may request the deletion of your account by contacting us, provided that all outstanding obligations have been satisfied.

5. Intellectual Property Rights

All content, materials, and functionality available on or through the PeaceStop Website and our services are protected by intellectual property laws and are the exclusive property of PeaceStop or our licensors. This section outlines the ownership and usage rights pertaining to such intellectual property.

Website Content: The Website and its entire contents, including but not limited to text, graphics, logos, button icons, images, audio clips, video clips, digital downloads, data compilations, software code, and the design, selection, and arrangement thereof, are owned by Zhijiang Zhengzhi Trading Co., Ltd. and are protected by applicable copyright, trademark, patent, trade secret, and other intellectual property laws. The PeaceStop name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of PeaceStop or its affiliates.

Limited License: PeaceStop grants you a limited, non-exclusive, non-transferable, and revocable license to access and view the Website content for your personal and internal business purposes. This license does not include any right to reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any material from the Website except as expressly permitted in writing by PeaceStop.

Client Deliverables: With respect to work product specifically created for a client under a signed Service Agreement, ownership and license rights shall be governed by the terms of that agreement. Unless otherwise specified in the Service Agreement, PeaceStop retains ownership of all pre-existing tools, methodologies, code libraries, frameworks, and know-how used in the delivery of services, while the client receives a perpetual, irrevocable license to use the deliverables created specifically for them.

6. Confidential Information

In the course of providing computer systems design and consulting services, PeaceStop may receive or have access to confidential and proprietary information belonging to its clients. Similarly, clients may receive or have access to confidential information belonging to PeaceStop. This section establishes the obligations of both parties with respect to the protection of such confidential information.

Definition of Confidential Information: Confidential Information means any non-public information disclosed by one party (the Disclosing Party) to the other party (the Receiving Party), either directly or indirectly, in writing, orally, or through any other medium, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. This includes, but is not limited to, trade secrets, business plans, financial data, customer lists, technical specifications, source code, system architecture documents, security assessments, and operational procedures.

Obligations of the Receiving Party: The Receiving Party agrees to hold confidential information in strict confidence, to use it only for the purpose of fulfilling its obligations under the applicable Service Agreement, to restrict access to it to employees and contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein, and to protect it using the same degree of care used to protect its own confidential information of a similar nature, but in no event less than reasonable care.

Exclusions: Confidential Information does not include information that is or becomes publicly available through no fault of the Receiving Party, was already known to the Receiving Party without restriction prior to disclosure, is rightfully received from a third party without obligation of confidentiality, or is independently developed by the Receiving Party without use of or reference to the Confidential Information of the Disclosing Party. The Receiving Party may disclose Confidential Information if required by law, provided that it gives the Disclosing Party prompt notice and reasonable assistance to contest or limit the scope of such disclosure.

7. Payment and Billing Terms

The fees for PeaceStop services are specified in the applicable Service Agreement, Statement of Work, or Proposal provided to the client. This section sets forth the general payment and billing terms that apply to all engagements unless superseded by specific provisions in a signed Service Agreement.

Fees and Invoicing: Fees may be structured as fixed-price for defined project scopes, time-and-materials at agreed hourly or daily rates, or retainer-based for ongoing advisory and managed services. Invoices are issued according to the schedule set forth in the Service Agreement, typically upon achievement of defined milestones, on a monthly basis, or upon project completion. All fees are stated and payable in United States Dollars (USD) unless otherwise agreed in writing.

Payment Terms: Unless otherwise specified in the Service Agreement, invoices are due and payable within thirty calendar days of the invoice date. Late payments may incur interest at the rate of one and one-half percent per month, or the maximum rate permitted by applicable law, whichever is lower. PeaceStop reserves the right to suspend services if payment is more than forty-five days past due, after providing the client with at least ten business days written notice of such suspension.

Taxes: Fees quoted do not include any applicable taxes, duties, or governmental levies. The client is responsible for paying all sales, use, value-added, withholding, and similar taxes imposed on the services provided, except for taxes based on the net income of PeaceStop. If PeaceStop is required to collect or remit any such taxes, the amount will be added to the invoice or separately invoiced to the client.

8. Service Availability and Maintenance

PeaceStop is committed to delivering reliable and professional services to all clients. This section describes our approach to service availability, scheduled maintenance, and the handling of service interruptions for managed and hosted services.

For managed integration services and any hosted solutions that we provide, we will use commercially reasonable efforts to maintain service availability in accordance with the Service Level Agreement applicable to the specific engagement. Scheduled maintenance activities that may temporarily affect service availability will be communicated to clients at least forty-eight hours in advance whenever reasonably practicable, and we will endeavor to schedule such activities during low-usage periods to minimize disruption.

PeaceStop shall not be liable for any service interruptions or unavailability caused by factors beyond our reasonable control, including but not limited to third-party service provider outages, internet backbone failures, denial-of-service attacks, or incidents described in Section 16 (Force Majeure) below. Clients are responsible for maintaining their own internet connectivity and computing environment necessary to access our services.

9. Third-Party Services and Links

The PeaceStop Website and our service engagements may involve interactions with third-party products, services, platforms, and websites that are not under our control. This section clarifies the relationship between PeaceStop and such third-party offerings.

Our Website may contain links to external websites and resources provided by third parties. These links are furnished solely for your convenience and do not constitute an endorsement, sponsorship, or recommendation by PeaceStop. We have no control over the content, accuracy, privacy policies, or practices of any third-party websites and expressly disclaim any liability arising from your use of or interaction with them. You access and use third-party websites entirely at your own risk.

In the course of providing consulting services, PeaceStop may recommend, integrate, or configure certain third-party software and hardware products on behalf of a client. Unless otherwise expressly agreed in writing, PeaceStop does not warrant or guarantee the performance, suitability, or continued availability of any third-party product or service. All licensing, maintenance, and support for third-party products are subject to the terms and conditions established by the respective product vendors.

10. Disclaimers and Warranties

The services and materials provided by PeaceStop are subject to the disclaimers and limitations set forth in this section. Clients should carefully review these provisions, as they define the scope of our liability and the basis upon which our services are delivered.

Website Disclaimer: The PeaceStop Website and all content, materials, and information available through it are provided on an as-is and as-available basis, without any representations or warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, PeaceStop disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Website will operate error-free, uninterrupted, or free of viruses or other harmful components.

Service Warranty: PeaceStop warrants that all consulting and design services will be performed in a professional and workmanlike manner consistent with generally accepted industry standards. This warranty is valid for a period of thirty calendar days following the completion and delivery of the applicable service component. The exclusive remedy for any breach of this service warranty shall be, at the option of PeaceStop, either reperformance of the non-conforming services or a refund of the fees paid for the non-conforming portion of the work. This warranty does not apply to defects caused by modifications made by the client or third parties, misuse of deliverables, or failure to follow our recommendations.

11. Limitation of Liability

This section defines the extent of financial responsibility that PeaceStop assumes in connection with the Website and our services. These limitations are an essential element of the bargain between the parties and reflect the allocation of risk agreed upon.

To the maximum extent permitted by applicable law, in no event shall PeaceStop, its affiliates, directors, officers, employees, agents, or subcontractors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of business opportunity, business interruption, or damage to reputation, whether such liability arises from contract, tort, negligence, strict liability, or any other legal theory, even if PeaceStop has been advised of the possibility of such damages.

The aggregate liability of PeaceStop for all claims arising out of or relating to these Terms, the Website, or our services, whether in contract, tort, or otherwise, shall not exceed the total amount of fees actually paid by the client to PeaceStop during the twelve-month period immediately preceding the event giving rise to the claim. For claims relating to the Website where no fees have been paid, the aggregate liability shall not exceed one hundred United States Dollars. These limitations apply regardless of the nature of the claim and even if any remedy fails of its essential purpose.

12. Indemnification

You agree to defend, indemnify, and hold harmless PeaceStop, its parent company Zhijiang Zhengzhi Trading Co., Ltd., and their respective officers, directors, employees, agents, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses, including reasonable legal and accounting fees, arising out of or in connection with:

Your use of or access to the Website in violation of these Terms; your breach of any representation, warranty, or obligation set forth in these Terms or any applicable Service Agreement; your violation of any applicable law, regulation, or the rights of any third party, including intellectual property rights; any content, materials, or data that you submit, post, transmit, or otherwise make available through the Website or our services; or any negligent, reckless, or intentionally wrongful act or omission by you or your employees, agents, or contractors.

PeaceStop reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such case, you agree to cooperate fully with PeaceStop in asserting any available defenses. You shall not settle any matter involving indemnification obligations without the prior written consent of PeaceStop, which consent shall not be unreasonably withheld.

13. Termination of Services

Either party may terminate a Service Agreement in accordance with the termination provisions specified in that agreement. This section addresses termination of access to the Website and of these Terms generally, as well as the consequences of termination.

Termination by You: You may terminate your agreement to these Terms at any time by ceasing all use of the PeaceStop Website and services and by providing written notice of termination to PeaceStop. For ongoing service engagements, the termination provisions of the applicable Service Agreement will govern the process and any associated fees or obligations.

Termination by PeaceStop: We may suspend or terminate your access to the Website or our services immediately, without prior notice or liability, if you breach any material provision of these Terms, if you engage in conduct that we determine, in our sole discretion, to be harmful to our interests, other users, or third parties, or if we are required to do so by law or regulatory authority.

Effects of Termination: Upon termination, all rights and licenses granted to you under these Terms shall immediately cease. You must promptly pay all outstanding fees and charges accrued prior to the effective date of termination. The provisions of these Terms that by their nature should survive termination shall continue in full force and effect, including but not limited to Sections 5 (Intellectual Property Rights), 6 (Confidential Information), 10 (Disclaimers and Warranties), 11 (Limitation of Liability), 12 (Indemnification), and 14 (Governing Law and Jurisdiction).

14. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or their formation shall be governed by and construed in accordance with the laws of the Peoples Republic of China, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms or any transactions hereunder.

Any legal action, suit, or proceeding arising out of or relating to these Terms or the services provided by PeaceStop shall be instituted exclusively in the competent courts located in Yichang, Hubei Province, China. Each party irrevocably submits to the exclusive jurisdiction of such courts and waives any objection to venue or to the inconvenience of the forum. This choice of jurisdiction does not prevent PeaceStop from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

15. Changes to These Terms

PeaceStop reserves the right to modify, amend, or replace these Terms at any time to reflect changes in our business practices, legal obligations, or the services we offer. When we make changes, we will update the Last Updated date at the top of this page and post the revised Terms on the Website. We encourage you to review these Terms regularly to stay informed of any updates.

For material changes that significantly affect your rights or obligations under these Terms, we will make reasonable efforts to notify you before the changes take effect. Such notice may be provided by posting a prominent announcement on the Website, sending an email to the address associated with your account or client record, or displaying a notice within your account interface upon login. Your continued use of the Website or services after the effective date of the revised Terms constitutes your acceptance of those changes.

If you do not agree with any modification to these Terms, your sole remedy is to cease using the Website and our services and to terminate any ongoing service engagements in accordance with the termination provisions of the applicable Service Agreement. No modification to these Terms shall apply retroactively to any dispute or claim that arose prior to the effective date of the modification.

16. Force Majeure

Neither party shall be liable for any failure or delay in the performance of its obligations under these Terms or any Service Agreement if such failure or delay is caused by circumstances beyond its reasonable control. Events of force majeure include, but are not limited to, acts of God, earthquakes, floods, fires, storms, or other natural disasters; war, terrorism, civil unrest, riots, or insurrection; epidemics, pandemics, or public health emergencies; governmental actions, embargoes, sanctions, or changes in law; national or regional power grid failures or prolonged telecommunications outages; and labor disputes, strikes, or lockouts not instigated by the affected party.

The party affected by a force majeure event shall notify the other party as soon as reasonably practicable of the nature and anticipated duration of the event and shall use diligent efforts to resume performance and mitigate the effects of the delay. If the force majeure event persists for a continuous period of more than sixty calendar days, either party may terminate the affected Service Agreement without liability upon written notice to the other party.

17. Entire Agreement

These Terms, together with any applicable Service Agreement, Statement of Work, Non-Disclosure Agreement, or other written instrument mutually executed by the parties, constitute the entire agreement between you and PeaceStop concerning the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.

No waiver of any provision of these Terms shall be effective unless made in writing and signed by an authorized representative of the waiving party. The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision or of the right to enforce it at any subsequent time. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to achieve the intended economic effect to the maximum extent permitted by law, or severed if modification is not possible, and the remaining provisions shall continue in full force and effect.

These Terms are binding upon and inure to the benefit of the parties and their respective successors and permitted assigns. You may not assign or transfer any of your rights or obligations under these Terms without the prior written consent of PeaceStop. PeaceStop may freely assign or transfer these Terms, in whole or in part, without your consent.
